The Network Store – Terms and Conditions of Sale

Please read these Terms and Conditions of Sale carefully before placing an order. If you wish to keep a copy for your records, please print this page.

1. Definitions

In this Agreement, unless the context otherwise requires:

1.1 “Supplier” means The Network Store Ltd, registered in England and Wales, company number 16619899, whose office is at Unit 13, Headlands Business Park, Ringwood, Hampshire, BH24 3PB.
1.2 “Goods” means the products or services supplied by The Network Store.

1.3 “Customer” means the person, business, or organisation purchasing or agreeing to purchase goods or services from The Network Store.
1.4 Any order placed under the name of a business or organisation will be treated as
a business-to-business (B2B) transaction.

2. General

2.1 These Terms and Conditions apply to all goods and services supplied by The Network Store. Additional terms may apply to certain services, software, or licenses.
2.2 A contract is formed only once The Network Store has accepted your order and received full payment in cleared funds.

2.3 An acknowledgement email will be sent when you place an order, but acceptance takes place only when payment is confirmed.
2.4 The Network Store reserves the right to amend these Terms and Conditions without notice, which will apply to future sales.

2.5 The contract is subject to your rights of cancellation (see Section 9).
2.6 The Network Store reserves the right to decline any order at its discretion.

3. Description of Goods and Services

3.1 Product descriptions and prices are as shown on The Network Store’s website at the time of order.
3.2 Goods are subject to availability. If items are unavailable, we will inform you as soon as possible.

3.3 Certain products, software, and services may be subject to additional terms or usage restrictions.

4. Price

4.1 We make every effort to ensure prices are correct. If an error is found, we will contact you with the option to:

  • confirm the order at the correct price, or

  • cancel the order with a full refund.

    4.2 Prices are exclusive of:

  • delivery charges, and

  • VAT or other applicable taxes.

    4.3 Quotations are valid for 7 days unless otherwise stated.

    5. Payment

    5.1 Payment methods are shown on The Network Store’s website at checkout.
    5.2 Payment must be received in cleared funds before goods are dispatched.
    5.3 We do not accept cheques.
    5.4 Credit account invoices (where agreed in writing) are payable within 30 days. Late payments may incur interest at 5% above the Bank of England base rate.

    5.5 Customers may not offset or withhold payment without prior written agreement. 5.6 We may alter credit terms or limits at our discretion.

    6. Delivery

    6.1 Delivery dates are estimates only; time is not of the essence. 6.2 Goods will be delivered to the address provided at checkout. 6.3 If delivery cannot be made, we will refund delivery charges. 6.4 If you fail to take delivery:

    • we may store the goods and charge reasonable storage costs, or

    • resell the goods and charge for any shortfall.

      6.5 Orders must be checked on delivery. If unable, sign as “unchecked.” Claims must be made within 48 hours.

      7. Risk and Title

      7.1 Risk passes on delivery.
      7.2 Ownership passes only when The Network Store has received full payment. 7.3 We may recover payment for goods even if ownership has not transferred.

8. Business Customers – Retention of Title

8.1 Until ownership passes, business customers must:

  • store goods separately and keep them identifiable as The Network Store’s property,

  • keep goods insured at full value, and

  • hold insurance proceeds on trust for The Network Store.

    8.2 The right to possession ends immediately if insolvency, liquidation, or similar events occur.

    9. Your Right of Cancellation

    9.1 Consumers have the right to cancel within 14 days of receiving goods. 9.2 Notice of cancellation must be made in writing (email or letter).
    9.3 Goods must be returned at your cost, in resaleable condition.
    9.4 Refunds will be issued within 14 days of receipt of returned goods. 9.5 Deductions may be made for goods returned in unsuitable condition.

    10. Returns
    All returns are subject to The Network Store’s published Returns Policy.

    11. Warranty

    11.1 Goods are supplied with a 12-month warranty unless otherwise stated (this does not affect statutory rights).
    11.2 The warranty does not cover fair wear and tear, misuse, negligence, or unauthorised repairs.

    11.3 Any defects or damage must be reported within 7 days of discovery.

    12. Limitation of Liability

    12.1 We are not liable for losses where:

    • no duty of care was owed,
    • loss was not reasonably foreseeable, or
    • losses arise from customer breach of contract.

    12.2 Business customers: we are not liable for indirect or consequential loss (including loss of profit, business, or goodwill).

12.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence.

13. Images

13.1 Product images and illustrations are for guidance only and may differ from actual items. 13.2 No images or technical documentation may be reproduced without our consent.

14. Data Protection
We will take all reasonable steps to protect your information, in accordance with our Privacy

Policy.

15. Applicable Law
These Terms are governed by English law and subject to the exclusive jurisdiction of the

English courts.

16. Our Right of Cancellation

16.1 If, due to factors beyond our control (e.g., supplier failure), we cannot supply goods, we may cancel the order and refund any sums paid.
16.2 We may cancel services at any time and refund unused charges proportionately.

17. Data Processing Agreement (DPA)

Where required, our Data Processing Agreement forms part of these Terms. Please review our Data Processing Agreement.
